Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (an individual user or the legal entity you represent) and CipherSense AI (“CipherSense”, “we”, “us”, or “our”), a technology company incorporated under the laws of the Federal Republic of Nigeria.

By creating an account, accessing, or using the CipherSense AI Platform — including the visual workflow designer, AI agent orchestration layer, third-party integration connectors, MCP server support, webhook triggers, APIs, and all associated services — you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Platform on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must immediately cease use of the Platform.

2. Description of the Platform

CipherSense AI provides an enterprise-grade orchestration layer for building, deploying, and monitoring autonomous AI agent workflows. Key capabilities of the Platform include:

  • A visual drag-and-drop workflow designer for composing multi-step AI agent pipelines
  • Multi-provider LLM routing supporting OpenAI, Anthropic, Google Gemini, DeepSeek, Grok, Perplexity, HuggingFace, and Ollama
  • Native Model Context Protocol (MCP) server support for tool-calling integrations
  • Enterprise integration connectors for databases, CRMs, communication tools, productivity suites, payment processors, developer tools, and AI media generation platforms
  • Webhook-based and scheduled workflow triggers
  • Human-in-the-loop (HITL) task management and approval flows
  • Workflow execution logging, metrics, and performance analytics
  • Organisation-level role-based access control and team management

We reserve the right to modify, suspend, or discontinue any feature, component, or the Platform as a whole at any time, with reasonable notice where practicable. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Accounts & Organisations

3.1 Account Registration

You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Organisation Administration

The Platform operates on an organisation model. The account that creates an organisation is designated as its owner and administrator. Administrators may invite members, assign roles, manage integrations, and control billing. You are responsible for the actions of all users within your organisation on the Platform.

3.3 Security Obligations

You must notify us immediately at hello@ciphersense.ai upon discovering any unauthorised access to your account, credential compromise, or any other security incident. CipherSense is not liable for losses arising from your failure to secure your account credentials or third-party integration secrets stored on the Platform.

3.4 Age Requirement

You must be at least 18 years of age to use the Platform. By using the Platform, you represent that you meet this requirement.

4. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in compliance with these Terms and all applicable Nigerian and international laws. The following activities are expressly prohibited:

  • Using the Platform to build or deploy workflows designed to generate, distribute, or facilitate illegal content, fraud, phishing, spam, or any form of cyberattack
  • Attempting to reverse-engineer, decompile, or extract the source code of the Platform or any of its components
  • Circumventing or attempting to circumvent plan-based quota limits, rate limits, or security controls through technical exploits or abusive automated patterns
  • Uploading, storing, or transmitting through the Platform any data that infringes intellectual property rights, violates privacy rights, or contains malware or malicious code
  • Using the Platform to process data in a manner that violates applicable data protection laws, including the Nigeria Data Protection Act (NDPA) 2023
  • Sharing your account credentials or API keys with unauthorised third parties
  • Impersonating another user, organisation, or CipherSense employee
  • Using the Platform in any way that degrades service performance or availability for other users
  • Reselling or sublicensing access to the Platform without our express written consent

We reserve the right to investigate suspected violations and to suspend or terminate accounts where violations are confirmed, without prior notice.

5. Third-Party Integrations

The Platform enables you to connect and interact with third-party services and APIs (“Third-Party Services”). By configuring integrations, you authorise the Platform to authenticate with, transmit data to, and execute actions against those Third-Party Services on your behalf, using the credentials you provide.

You acknowledge and agree that:

  • CipherSense does not control and is not responsible for the availability, accuracy, security, or conduct of any Third-Party Service.
  • Your use of each Third-Party Service remains subject to that service's own terms of service and privacy policy. You are responsible for complying with those terms.
  • You are responsible for ensuring that the actions your workflows perform against Third-Party Services are authorised and lawful — including obtaining any necessary consents from end users whose data is processed through those workflows.
  • CipherSense stores your integration credentials encrypted at rest and transmits them over TLS, but cannot guarantee the security of Third-Party Service environments.
  • CipherSense is not liable for any harm, data loss, or legal liability arising from actions taken against Third-Party Services by your workflows.

6. AI & LLM Usage

The Platform routes your prompts and model inputs to the AI providers you select (e.g., OpenAI, Anthropic, Google Gemini, and others). You acknowledge that:

  • AI model outputs are probabilistic and may be inaccurate, incomplete, or inappropriate. CipherSense makes no warranty regarding the accuracy, reliability, or fitness for purpose of any AI-generated content produced through the Platform.
  • You are solely responsible for reviewing, validating, and taking accountability for the outputs of AI agents deployed through your workflows before acting on them or exposing them to third parties.
  • Prompts and data you submit to AI providers through the Platform are subject to the terms and privacy policies of those providers. CipherSense does not retain model inputs or outputs beyond your plan's log retention window.
  • You must not use the Platform to generate content that is defamatory, hateful, discriminatory, sexually explicit, or otherwise unlawful.

7. Subscription Plans & Billing

7.1 Plan Tiers

The Platform is offered under tiered subscription plans — Free, Starter, Pro, and Enterprise — each with defined limits on active workflows, monthly execution runs, LLM token budgets, integration counts, log retention periods, and team member seats. Feature availability varies by tier.

7.2 Fees & Payment

Paid plans are billed in advance on a monthly or annual basis. You agree to provide accurate and complete payment information and to keep it current. All fees are non-refundable except as expressly stated in a written refund policy or required by applicable Nigerian consumer protection law. Failure to pay may result in service suspension or account termination.

7.3 Quota Enforcement

We strictly enforce plan-based quotas. Workflows that exceed your plan's execution limits will be paused until the next billing cycle or until you upgrade. You will be notified when approaching quota limits. CipherSense is not liable for business impacts resulting from quota-enforced pauses.

7.4 Plan Changes

You may upgrade your plan at any time; the new plan takes effect immediately on a pro-rated basis. Downgrading your plan takes effect at the end of the current billing cycle. Downgrading may result in loss of access to features or data that exceed your new plan's limits.

7.5 Taxes

Prices quoted are exclusive of Value Added Tax (VAT) and any other applicable Nigerian or local taxes. Where applicable, VAT will be added to your invoice in accordance with the VAT Act (as amended) and associated FIRS regulations.

8. Intellectual Property

8.1 Your Content

You retain all ownership rights in the workflow definitions, automation logic, integration configurations, and data (“Your Content”) that you create or store on the Platform. You grant CipherSense a limited, non-exclusive, royalty-free licence to host, process, reproduce, and display Your Content solely to the extent necessary to provide the Platform services to you.

8.2 CipherSense Intellectual Property

CipherSense owns all rights, title, and interest in and to the Platform, including its software, visual design, documentation, trademarks, and all intellectual property therein. Nothing in these Terms transfers any ownership of CipherSense's intellectual property to you. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business purposes during the term of your subscription.

8.3 Feedback

If you provide feedback, suggestions, or feature requests to CipherSense, you grant us an irrevocable, perpetual, royalty-free licence to use and incorporate that feedback into the Platform without obligation to you.

9. Data Processing & Privacy

Our collection and use of personal data in connection with the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. To the extent you use the Platform to process personal data of third parties, you act as the data controller and we act as the data processor. You are responsible for ensuring a lawful basis for such processing under the NDPA 2023 and any other applicable data protection laws.

10. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential (“Confidential Information”). This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law or regulatory authority.

Your integration credentials and API keys are treated as Confidential Information by CipherSense. We will not disclose them to any third party except as necessary to execute your workflows or as required by law.

11. Disclaimers & Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

CipherSense does not warrant that: (a) the Platform will meet your specific requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) AI-generated outputs will be accurate, complete, or suitable for any particular use; or (d) any defects will be corrected. You use the Platform at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, CIPHERSENSE AI AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CIPHERSENSE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CIPHERSENSE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) TWENTY THOUSAND NAIRA (₦20,000).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such cases, the limitations above apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless CipherSense AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform in breach of these Terms; (b) Your Content; (c) your violation of any applicable law or regulation; (d) actions taken by your AI agent workflows against Third-Party Services; or (e) any claim by a third party whose data was processed through your workflows without adequate legal basis.

14. Term & Termination

14.1 Term

These Terms are effective from the date you first access the Platform and continue until terminated by either party.

14.2 Termination by You

You may cancel your account and subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. No refund is provided for the remaining portion of a paid billing period, except as required by applicable law.

14.3 Termination by CipherSense

We may suspend or terminate your account immediately, without prior notice or liability, if: (a) you materially breach these Terms; (b) we are required to do so by law or regulatory authority; (c) continued provision of services creates legal or security risk to CipherSense or its other users; or (d) you fail to pay fees when due after a reasonable cure period.

14.4 Effect of Termination

Upon termination, your right to access the Platform immediately ceases. Your data will be retained for up to 90 days post-termination, during which you may request a data export. After this period, your data will be permanently deleted, except where retention is required by law. Provisions of these Terms that by their nature should survive termination — including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law — shall survive.

15. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

In the event of any dispute, controversy, or claim arising out of or in connection with these Terms, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a competent court where necessary to prevent irreparable harm.

16. Force Majeure

CipherSense shall not be liable for any delay or failure to perform its obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, power or internet outages, or failures of third-party infrastructure providers.

17. Amendments

We may revise these Terms at any time. Material changes will be communicated by email (to the address on your account) and by updating the “Last Updated” date above, with at least 14 days' notice before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Platform before the effective date.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any order forms or plan documentation, constitute the entire agreement between you and CipherSense regarding the Platform and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: CipherSense's failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. CipherSense may assign its rights under these Terms in connection with a merger, acquisition, or sale of assets.
  • No Partnership: Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and CipherSense.
  • Notices: Notices to CipherSense must be sent to hello@ciphersense.ai. We will send notices to the email address on your account.
